📋 1. Acceptance of Terms

By accessing or using any service provided by V&A Growth.ai (operated by Individual Entrepreneur Meimanaliyev Aibek Arstanalievich, INN: 22903200550276, Address: Jalal-Abad region, Aksy district, Kerben city, Andabekova st., 38) ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our services.

These Terms apply to all visitors, users, and clients who access or use our AI-powered chatbot automation, CRM integration, and lead generation services.

🤖 2. Description of Services

V&A Growth.ai provides the following services:

• AI Chatbot Automation — automated AI-driven conversations on Instagram Direct and WhatsApp Business, powered by Large Language Models (LLMs).
• Lead Generation & Qualification — automatic identification, scoring, and routing of leads via messaging platforms.
• CRM Integration — synchronization of conversation data with third-party CRM platforms (e.g., Bitrix24, amoCRM) as configured by the client.
• Analytics & Reporting — aggregated performance reports on bot effectiveness, lead conversion, and engagement metrics.
• Custom Workflow Automation — bespoke automation flows built to client specifications.

✅ 3. Eligibility & Account Registration

To use our services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.
• Have the legal authority to enter into binding agreements on behalf of yourself or your organization.
• Maintain a valid Meta Business Account, Instagram Business Profile, or WhatsApp Business Account as applicable to the services ordered.
• Comply with all applicable Meta Platform Policies and WhatsApp Business Policies.

🔗 4. Meta Platform Compliance

Our services operate through the Meta (Facebook) Platform APIs, including the Instagram Graph API and WhatsApp Business API. By using our services, you acknowledge and agree that:

• You will comply with all applicable Meta Platform Policies.
• You will comply with the WhatsApp Business Policy.
• You will not use our services to send spam, unsolicited messages, or content that violates Meta's messaging guidelines.
• We operate as an independent service provider and are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.
• Meta may suspend or terminate API access at any time, which may affect service availability. We are not liable for such interruptions.

💳 5. Payment & Billing

Services are provided on a subscription or project basis as specified in the individual service agreement ("Order Form") signed between V&A Growth.ai and the client. General billing terms:

• Subscription fees are billed in advance on a monthly or annual basis as agreed.
• All fees are non-refundable except as expressly stated in the applicable Order Form.
• We reserve the right to suspend service for accounts with overdue payments after 7 calendar days of notice.
• Pricing may be updated with 30 days' advance notice to active clients.

🚫 6. Prohibited Uses

You may not use our services to:

• Send spam, bulk unsolicited messages, or engage in any form of message flooding.
• Distribute illegal, fraudulent, harmful, or deceptive content.
• Harass, threaten, or harm any individual or group.
• Violate any applicable law, regulation, or Meta Platform Policy.
• Scrape, reverse-engineer, or attempt to extract proprietary algorithms or source code.
• Resell or sublicense our services without prior written authorization.
• Collect data from end-users in a manner inconsistent with our Privacy Policy or applicable law.

🛡️ 7. Intellectual Property

All software, algorithms, workflows, branding, and documentation developed by V&A Growth.ai remain the exclusive intellectual property of the Company. Clients retain ownership of their own content, data, and brand assets. We are granted a limited, non-exclusive license to process client data solely for the purpose of delivering contracted services.

🔒 8. Confidentiality & Data Protection

We treat all client data as confidential and process it in accordance with our Privacy Policy. Key commitments:

• We will not disclose client data to third parties except as required for service delivery or by law.
• We implement industry-standard security measures including TLS encryption and access controls.
• Where required by GDPR, we are available to sign a Data Processing Agreement (DPA) upon request.

⚠️ 9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or achieve any specific business outcome. AI-generated responses are probabilistic in nature and may occasionally produce inaccurate or unexpected output.

⚖️ 10. Limitation of Liability

To the fullest extent permitted by applicable law, V&A Growth.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising from the use of or inability to use our services, even if advised of the possibility of such damages. Our maximum aggregate liability shall not exceed the total fees paid by the client in the three (3) months preceding the claim.

🔄 11. Modifications to Terms

We reserve the right to update these Terms at any time. Continued use of the services after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated via email to registered clients at least 14 days in advance.

🌍 12. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial law. Any disputes shall be resolved through good-faith negotiation, followed by binding arbitration if necessary.
